These Terms and Conditions (“Terms”) govern your access to and use of the Ivy+ platform,
events, products and services (collectively, the “Services”).
By applying for, accessing or using any part of the Services you agree to be bound by these Terms.
If you do not agree, you must not use the Services.
1. Definitions
“Ivy+” (“we”, “us”, “our”) means Ivyplus Ltd, a company registered in England and Wales (Company No. 153 967 80) having its registered office at 128 City Road, London, United Kingdom, EC1V 2NX.
“Member” or “you” means any natural or legal person that has been admitted to the Ivy+ community, including Basic, Premium, Student, Investor or Founder roles.
“Content” includes, without limitation, text, documents, images, audio-visual material, live streams, code, datasets and any other materials made available through the Services.
“UK GDPR” refers to Regulation (EU) 2016/679 retained in UK law by virtue of s.3 of the European Union (Withdrawal) Act 2018, together with the Data Protection Act 2018.
2. Eligibility & Membership
Application. Candidates must complete the online application truthfully and supply evidence of academic affiliation upon request.
Minimum Age. You must be at least 18 years old to apply.
Acceptance. Acceptance is at Ivy+’s sole discretion and may be revoked in cases of misrepresentation, breach of these Terms, or conduct that, in Ivy+’s view, may harm the community.
Tier Assignment. Upon acceptance you may be assigned to a Basic role by default. Access to Premium, Student, Investor or Founder tiers requires satisfying additional criteria, agreeing to future benefit rules, and (where applicable) paying any associated fees once those tiers launch.
3. Future Roles & Advantages
The following membership tiers and advantages are planned for future release. Ivy+ reserves the right to adjust or
re-sequence features. Early-bird access may be granted to select Members who meet launch-phase criteria set out in
Ivy+ announcements.

Prices and release schedule will be confirmed in a later notice. Early-bird conditions may include referral quotas,
content contributions, or beta-testing participation.
4. Fees & Payment
Future Subscription Fees. Where a tier requires payment, Ivy+ will notify Members of the applicable fee,
billing frequency and acceptable payment methods at least 30 days prior to commencement.
Taxes. All fees are exclusive of VAT, sales tax or similar charges unless expressly stated.
Non-payment. Failure to settle invoices may result in suspension or downgrading of membership.
5. Acceptable Use & Community Rules
No unlawful, harassing, defamatory, hateful, obscene or fraudulent behaviour.
No unauthorised commercial solicitation or spam.
No sharing of confidential deal information outside permitted Investor or Founder channels.
No reverse-engineering, scraping or automated collection of Ivy+ data.
6. Intellectual Property
Ivy+ and its licensors retain all intellectual-property rights in the Services.
You may not reproduce, distribute or create derivative works from Ivy+ Content
without prior written consent, except as permitted under the Copyright, Designs and Patents Act 1988 or
other applicable law.
7. Confidentiality
Certain information disclosed within Premium, Investor or Founder channels may be marked “confidential”.
You agree to keep such information strictly confidential and to use it solely for the purposes intended
by the disclosing party. These obligations survive termination of membership.
8. Data Protection (UK GDPR)
Controller. Ivy+ acts as a Data Controller in respect of personal data you provide.
Lawful Basis. We process personal data under Article 6(1)(b) (contract) and
Article 6(1)(f) (legitimate interests) of the UK GDPR.
International Transfers. Where data is transferred outside the UK we rely on
UK adequacy regulations or Standard Contractual Clauses.
Your Rights. You have rights of access, rectification, erasure, restriction,
objection and data portability. To exercise them email

Retention. We retain data for as long as required to fulfil the purposes set out
in these Terms, unless a longer period is mandated by law.
9. Disclaimers & Limitation of Liability
The Services are provided “as is” and “as available” without warranties of any kind.
Ivy+ does not guarantee investment outcome, employment placement or any specific business result.
Nothing in these Terms limits liability for death or personal injury caused by negligence,
fraud or fraudulent misrepresentation, or any liability which cannot be excluded under English law.
Subject to the foregoing, Ivy+’s total aggregate liability to any Member is limited to the amount
of fees actually paid by that Member in the 12-month period preceding the claim.
10. Termination
Ivy+ may suspend or terminate your membership immediately on written notice if you breach these Terms.
You may cancel at any time by emailing contact@ivyplus.xyz.
Clauses relating to intellectual property, confidentiality, data protection and limitation of liability survive termination.
11. Governing Law & Dispute Resolution
These Terms and any dispute or claim (including non-contractual disputes) arising out of or in connection with them
are governed by and construed in accordance with the laws of England and Wales.
The parties irrevocably submit to the exclusive jurisdiction of the English courts.
12. Changes to These Terms
Ivy+ may revise these Terms from time to time. We will provide at least 14 days’ notice through email or the platform.
Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
